10. Termination

We may terminate or suspend your account and access to the Site at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Site.

11. Dispute Resolution and Arbitration

a. Mandatory Arbitration

  • By agreeing to these Terms, you and Meshada agree that any disputes, claims, or controversies arising out of or relating to these Terms, your use of the Site, or your relationship with Meshada will be resolved exclusively through final and binding arbitration, rather than in court. This includes any claims you may assert against Meshada, its affiliates, officers, directors, employees, or agents.

b. Arbitration Procedures

  • The arbitration will be administered by [Name of Arbitration Organization, e.g., the American Arbitration Association (AAA)] under its rules in effect at the time of the dispute. The arbitration will be conducted in [City, State], or at another mutually agreed location, or via video conference or other remote means if both parties agree.
  • The arbitrator will have the authority to grant any relief that would be available in a court of law, including injunctive or declaratory relief, and will issue a written decision explaining the outcome and the reasoning behind it.

c. Waiver of Jury Trial

  • You and Meshada hereby waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or a jury. You and Meshada are instead electing to have claims and disputes resolved by arbitration.

d. Class Action Waiver

  • You and Meshada agree that any arbitration will be conducted on an individual basis and not as a class action, consolidated action, or representative action. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

e. Costs of Arbitration

  • The payment of all filing, administration, and arbitrator fees will be governed by the rules of the [Arbitration Organization], unless otherwise stated in this agreement. Each party will bear its own costs and fees, including attorney’s fees, unless the arbitrator determines that a party’s claim or defense was frivolous or asserted in bad faith.

f. Exceptions

  • Notwithstanding the above, either party may bring an individual claim in small claims court if the claim is within the court’s jurisdiction and proceeds on an individual basis only.

g. Severability

  • If any portion of this arbitration provision is found to be unenforceable, the remaining portions shall still be valid and enforceable.

12. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Site will be governed by and construed in accordance with the laws of the USA, without regard to its conflict of law provisions, except as otherwise provided in the arbitration clause above.
